1. Definitions
1.1 “We Designn” refers to the digital agency providing services including web development, SEO, Google Ads, digital marketing, and related solutions across the USA.
1.2 “User” means any individual, business, or authorized representative using We Designn services.
1.3 “Dashboard” refers to any client portal, reporting system, or digital interface provided by We Designn for managing services and performance tracking.
1.4 “Services” include but are not limited to web development, SEO, digital marketing, Google Ads management, branding, UI/UX design, reporting, and related analytics services.
1.5 “Confidential Information” refers to any business, technical, or financial information shared between We Designn and the client that is not publicly available.
1.6 “Force Majeure” refers to unforeseen events beyond reasonable control such as natural disasters, government actions, internet outages, or other disruptions affecting service delivery.
2. Scope and Acceptance
By using We Designn services, clients agree to these Terms of Use, Privacy Policy, and any related agreements. These terms apply to all services unless a separate written contract states otherwise.
3. Services and Access
3.1 Services Provided
We Designn offers professional digital services including:
• Website Design & Development
• SEO (Search Engine Optimization)
• Google Ads & Paid Campaign Management
• Social Media Marketing
• Branding & Logo Design
• UI/UX Design Services
• Content Creation & Marketing
• Performance Tracking & Reporting
• Campaign Optimization & Analytics
All services are delivered through direct execution by We Designn’s team and/or client dashboards where applicable.
3.2 Usage License
Clients are granted a non-exclusive, non-transferable right to use delivered services for business purposes only. Reselling, copying, or unauthorized distribution of work is strictly prohibited.
4. Account Responsibility
• Clients must provide accurate business and contact information.
• Any activity performed through client accounts is considered authorized.
• We Designn is not responsible for losses caused by client negligence or unauthorized access due to weak security.
5. Service Updates
We Designn may:
• Improve or update services at any time
• Enhance tools, strategies, or systems for better performance
• Notify clients about major updates via email or communication channels
Clients may discontinue services if changes significantly affect agreed deliverables (with prior notice conditions).
6. Data and Analytics
• Clients retain ownership of their business data.
• We Designn may use anonymized data for performance improvement and analytics.
• No personal or business-identifiable data is shared publicly.
7. Payment and Billing
• Services are billed monthly or project-based as agreed.
• Payments must be made within the agreed invoice period.
• Late payments may result in service suspension.
• Pricing may be updated with prior notice.
8. User Obligations
Clients agree to:
• Provide accurate business details
• Follow all applicable laws and advertising policies
• Avoid uploading illegal, harmful, or misleading content
• Not misuse services for spam or fraudulent activity
We Designn reserves the right to suspend services for violations.
9. Intellectual Property
• We Designn retains ownership of internal tools, processes, templates, and strategies.
• Final deliverables provided to clients can be used for their business purposes only.
• Unauthorized copying, resale, or redistribution is prohibited.
10. Support and Availability
• Support is provided during standard business hours.
• Occasional downtime may occur due to maintenance or technical updates.
• Force Majeure events are not considered service failures.
11. Confidentiality
Both parties agree to keep all non-public business information confidential. This obligation continues even after service termination.
12. Limitation of Liability
• We Designn is not responsible for indirect losses such as lost profits or business interruption.
• Liability is limited to the amount paid for services.
• We are not responsible for issues caused by third-party platforms (Google, Meta, hosting providers, etc.).
13. Term and Termination
• Services continue as per agreement until terminated by either party.
• Upon termination, access to services may be revoked.
• Clients may request data or report exports within a limited time period.
14. Amendments
We Designn may update these Terms at any time. Continued use of services means acceptance of updated terms.
